Terms of Service

By subscribing to or using the DocReport UAE platform, you ("Subscriber", "Practice", "Clinic", or "User") agree to be bound by these B2B Terms of Service. These Terms represent a legally binding agreement between your practice and Be Smart Global, LLC. If you do not agree, you must discontinue using our services immediately.

DocReport UAE is owned and operated by Be Smart Global, LLC, a Delaware Limited Liability Company (Delaware File No. 10620833). Our registered agent is Legalinc Corporate Services Inc., 131 Continental Dr, Suite 305, Newark, DE 19713, USA.

The Service is a professional clinical AI documentation, billing support, and claims denials copilot tool. It is designed strictly for licensed medical professionals, clinics, hospitals, and medical billing coordinators in the United Arab Emirates. It is not intended for consumers or direct patient diagnostic use.

By using the clinical AI features of the platform, the Subscriber explicitly agrees to the following conditions:

• Medical Accuracy: The Subscriber assumes full responsibility for checking and validating all AI-generated medical reports, transcripts, Nabidh/Malaffi HL7/FHIR payloads, and appeal letters before submitting them to official registries or insurance payers. We do not practice medicine or make clinical diagnoses.
• Data Protection (PDPL): Practices must ensure that they activate local client-side Zero-Trust safeguards and secure their practice cryptographic keys. The clinic is responsible for keeping local device credentials and browser keys confidential in accordance with UAE Federal Decree-Law No. 45 of 2021 (PDPL) and Health ICT Law.

DocReport UAE operates on a subscription model billed monthly or annually in United Arab Emirates Dirhams (AED). Subscribing practices are billed as follows:

• Premium Plan: 1,299 AED per month.
• Ultimate Plan: 4,999 AED per month.

All subscriptions are processed securely using our Stripe payment integration, operating under our American LLC account (*Be Smart Global, LLC*). Subscription fees are charged in advance and are strictly non-refundable due to the immediate digital provision of AI resources, unless otherwise required by applicable laws.

THE PLATFORM AND ALL AUTOMATED CLINICAL LOGS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND ACCURACY.

IN NO EVENT SHALL BE SMART GLOBAL, LLC, ITS DIRECTORS, OR ITS AFFILIATES BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR SPECIAL DAMAGES (INCLUDING LOSS OF REVENUE, REGULATORY FINES, MALPRACTICE CLAIMS, OR BUSINESS INTERRUPTION) ARISING OUT OF OR IN CONNECTION WITH THE USE OF AI-GENERATED TRANSCRIPTS OR CLINICAL SUMMARIES.

These Terms, their interpretation, and any legal disputes arising from the use of DocReport UAE shall be governed by and construed in accordance with the laws of the **State of Delaware, USA**, without regard to conflict of law principles. Any dispute, controversy, or claim arising out of this agreement shall be settled by binding arbitration in Delaware in accordance with the Commercial Arbitration Rules of the American Arbitration Association (AAA).
